Package Description: Remuneration and benefits will be commensurate with the seniority of the role and in compliance with company remuneration policy and practice.

Job Introduction:

Main Purpose of Position:

To provide a legal service to G4S with regards to legal correspondence & advice, company secretarial compliance, commercial transactions, acquisitions, contracts and customer claims.

Role Responsibility:

1. Manage commercial transactions including mergers and acquisitions

  • Negotiate with relevant parties
  • Identification of potential risks (Ownership, liquidation, sequestration, contract breach)
  • Drafting of legal agreements
  • Advise on security method of payment (including currency risk)

2. Review, negotiate and draft of  legal documents

  • Review legal document or agreement 
  • Advise of necessary amendments
  • Draft agreements as per requests
  • Negotiate amendments as required
  • Review agreements
  • Communicate concerns to party requesting review
  • Liaise with Group Legal regarding contractual terms

3. Attend to litigation or other legal actions against the company 

  • Receive Summonses or other legal actions
  • Instruct attorneys if necessary
  • Track resolution of legal action if given to attorney
  • Report on status of litigation

4. Represent company in legal matters

  • Monitor negotiations/discussions with customers or court actions
  • Report on outcome of representation
  • Participate in negotiations involving purchase agreements and the acquisition of target business

5. Attend to legal correspondence

  • Formulate necessary correspondence/responses  based on information received
  • Advise on the appropriate action
  • Track/Follow through on appropriate action

6. Attend to claims against the company

  • Assess claim and investigating report
  • Request/obtain more information
  • Prepare advise on dealing with claim
  • Advise company
  • Execute company decision
  • Instruct attorneys based on analysis of case
  • Correspond with insurance office
  • Report to management on Claims list and Bad Debtor list

7. Attend to company secretarial functions

  • Liaise with country management
  • Ensure legislative compliance
  • Manage the appointment of suitable board appointees

The Ideal Candidate:

1. Knowledge

  • Knowledge of applicable legislation particular in regards to Commercial law, Company law, Contracts, Collections and claims  
  • Knowledge of litigation
  • Knowledge of acquisition processes and requirements

2. Skills

  • Communication (written and verbal)
  • Ability to explain certain decisions in an understandable way.
  • MS Office skills
  • Awareness of the market environment
  • Negotiation
  • Working with complexity

4. Minimum Qualification and experience

  • Admitted Attorney
  • BCom Law degree would be a distinct advantage
  • Relevant experience in dealing with legal aspects and litigation
  • Experience in Employment Law will be an added advantage
